The specific corporate services we provide include: startup counseling; formation and preparation of related documentation; founders’ agreements and corporate bylaws; IP agreements, including licensing agreements, confidentiality agreements, and terms of service/use and privacy policy, and nondisclosure agreements; employment and consulting agreements; stock option plans and agreements; commercial contracts, including services agreements, partnering agreements, vendor and supplier agreements; and, structuring of equity ownership.
Many of our clients rely on our attorneys to advise their management, officers and directors to help ensure that the company as a whole is compliant with corporate governance requirements. We provide “best practices” recommendations for board members and officers, which includes counseling on director and officer fiduciary duties and responsibilities. We work with our corporate clients to address board and management issues, including conflicts of interest, related party transactions and executive compensation. We prepare company-wide programs and policies, including codes of conduct and charters for new corporations, and for growing corporations as their needs continue to evolve.
